Terms of Service

These Terms of Service (“Terms”) form a binding agreement between QuickFlip Recon (referred to as “QuickFlip”, “we”, or “us”) and the organization or individual who creates an account (“Customer”, “you”) to access the QuickFlip Recon web application and related services (the “Service”).
By signing up, clicking “I agree”, or using the Service, you accept these Terms. If you're signing up on behalf of a dealership or dealer group, you represent that you have authority to bind that organization, and “Customer” refers to that organization.
1. The Service
QuickFlip Recon is a cloud-based software product that helps automotive dealers manage inventory, reconditioning workflow, pricing, photos, and customer-facing vehicle information sheets. We offer it as a software-as-a-service subscription, billed per dealership per month.
2. Subscription, billing, and trial
- New accounts receive a 14-day free trial. No payment is required to start.
- After the trial, continued use requires an active paid subscription. Our current plans and prices are listed on our pricing page, billed monthly in advance in Canadian dollars (CAD).
- Payments are processed by Stripe. You must provide valid payment details before the end of your trial or when prompted to renew. We never see or store your card information.
- Prices may change with at least 30 days' notice. Changes take effect on your next billing cycle.
- You may cancel at any time from the Billing page. Cancellation takes effect at the end of the current billing period; we do not provide pro- rated refunds for partial months unless required by law.
- If payment fails and isn't corrected within a reasonable grace period, we may suspend write access to the Service until the account is brought current. Read access to your existing data is preserved during suspension.
3. Your account
You're responsible for:
- Keeping your login credentials and multi-factor authentication secret;
- All activity that happens under your account;
- Promptly notifying us at security@quickfliprecon.com if you suspect your account is compromised;
- Ensuring each user you invite understands and follows these Terms.
4. Acceptable use
You agree not to:
- Upload data you don't have the right to share (including customer data you haven't obtained consent to store);
- Use the Service to harass, defraud, or deceive (e.g. misrepresenting a vehicle's condition in a customer-facing PDF);
- Reverse-engineer, scrape, or resell the Service without a written agreement with us;
- Interfere with the Service's operation (rate-limit evasion, vulnerability exploitation, denial-of-service attempts);
- Upload malware, illegal content, or any content that violates applicable law.
We may suspend or terminate accounts that violate these rules, with or without notice.
5. Your data
You retain full ownership of the data you put into QuickFlip Recon — vehicles, photos, documents, customer info, recon records. We only access it to operate the Service, respond to support requests, or comply with legal process. Our detailed data handling practices are in our Privacy Policy.
On cancellation, you may export your data on request. We retain it for up to 30 days after cancellation (in case you reactivate), then delete it from our production systems. Backups containing your data may persist for up to 90 days before being overwritten through routine rotation.
6. Intellectual property
QuickFlip Recon, its source code, design, brand, and underlying technology are our property. These Terms don't grant you any rights to our IP beyond the right to use the Service during your active subscription.
7. Third-party services
QuickFlip Recon is built on third-party infrastructure including Supabase (database and auth), Vercel (hosting), Stripe (payments), and Resend (email). Their terms govern their respective portions of the stack. A full list of subprocessors is at /subprocessors.
8. Disclaimers
The Service is provided “as is” and “as available”. We do our best to keep it running, secure, and bug-free, but we can't guarantee continuous uninterrupted operation. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of liability
To the fullest extent permitted by law, our total liability to you under or in connection with these Terms will not exceed the amount you have paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages — including lost profits, lost data, or business interruption — even if we were advised of the possibility.
10. Indemnification
You agree to indemnify and hold harmless QuickFlip Recon from claims arising out of your violation of these Terms or your misuse of the Service, including claims from your customers or employees relating to data you uploaded or actions you took using the Service.
11. Termination
Either of us may terminate these Terms at any time, for any reason. We may also terminate immediately if you materially breach these Terms. On termination, your right to use the Service ends and the provisions that by their nature should survive (intellectual property, disclaimers, limitation of liability, governing law) survive.
12. Governing law and dispute resolution
These Terms are governed by the laws of British Columbia, Canada, and the federal laws of Canada applicable there, without regard to conflict-of-law rules. Any dispute will be brought in the courts of British Columbia, and both parties submit to the exclusive jurisdiction of those courts.
13. Changes to these Terms
We may update these Terms occasionally. If the changes are material, we'll notify you by email and post a notice in the app at least 14 days before they take effect. Continued use of the Service after the effective date means you accept the new Terms.
